01 Acceptance of terms

These Terms of Service (“Terms”) form a binding agreement between you and KarryMi. They govern your use of the KarryMi app, website and services in Ado-Ekiti, Ekiti State, Nigeria.

By creating an account or using KarryMi in any way, you confirm that you accept these Terms and our Privacy Policy. If you do not agree, please do not use the service.

02 Definitions

• Platform — the KarryMi app, website and related services.
• Passenger — a person who books and takes a motorcycle ride through KarryMi.
• Sender — a person who books a parcel delivery through KarryMi.
• Rider — a verified independent motorcycle operator who provides rides and deliveries through KarryMi.
• Investor— a person who funds one or more motorcycles through KarryMi's bike-ownership programme and earns a share of the revenue those bikes generate.
• You / user — any person who uses KarryMi in any of the above roles.

03 Eligibility

You must be at least 18 years old and able to enter into a binding contract under Nigerian law to use KarryMi. By using the Platform, you confirm that you meet these requirements and that the information you provide is true and accurate.

Riders and investors must meet additional verification and eligibility requirements set out below and within the app.

04Account registration & verification

To use KarryMi you must create an account with accurate information, including your name, phone number and email. You are responsible for keeping your login details secure and for all activity under your account.

We verify the identity of our users — and riders in particular — using government ID, NIN and background checks through trusted providers. We may suspend or refuse an account if verification fails or if we suspect fraud, impersonation or misuse.

05 Description of services

KarryMi is a technology platform that connects users with independent riders, and connects investors with bike-ownership opportunities. Specifically, we provide:

• Rides — booking verified motorcycle rides for passengers.
• Parcel delivery — booking riders to carry parcels, secured by a delivery code.
• Rider earnings — the tools, payouts and support that let riders earn through the Platform.
• Investor bike-ownership — the programme through which investors fund bikes and receive a share of the revenue those bikes generate.

KarryMi facilitates these services. Riders are independent operators and not employees of KarryMi.

06Your responsibilities & conduct

When using KarryMi, you agree to:

• Provide accurate information and keep it up to date.
• Treat riders, passengers, senders and staff with respect.
• Use the Platform only for lawful purposes.
• Confirm the pickup and delivery codes honestly, and not attempt to bypass safety features.
• Wear the helmet provided and follow reasonable safety instructions during rides.
• Not send prohibited, illegal or dangerous items as parcels.

07Payments, fares & fees

Fares and delivery fees are shown clearly in the app before you confirm a trip. KarryMi is cashless by default — you pay from your in-app wallet, which you can top up by card or bank transfer. Cash may be available for some trips.

KarryMi may charge a service fee, which is reflected in the price you see. Fares may vary with distance, time and demand. By confirming a trip, you agree to pay the price shown.

08 The parcel delivery-code process

When you send a parcel, KarryMi issues a unique four-digit delivery code. The delivery is only marked complete when the recipient gives the correct code to the rider, who enters it in the app.

• Keep your delivery code private and share it only with the intended recipient.
• You are responsible for the accuracy of the recipient's details.
• You must not use KarryMi to send prohibited, illegal, hazardous, perishable-beyond-reason or excessively valuable items unless expressly permitted.

Live tracking and a photo at the door are provided to support a safe handover, but you remain responsible for what you choose to send.

09 Rider terms

If you ride with KarryMi, the following also applies to you:

• Verification — you must complete identity, document and background verification, and keep your details and documents current.
• Assigned bikes — where you operate a bike funded through the investor programme, you agree to use and care for it in line with the agreement provided to you.
• Payouts— your earnings accrue in your wallet and are paid to your bank account on KarryMi's regular weekly schedule.
• Daily targets — any daily goal is a target to support your earnings; you choose when to go online and offline.
• Conduct — you must ride safely, follow traffic laws, maintain your standard, and keep a clean spare helmet for passengers.

Riders are independent operators responsible for their own conduct, tax obligations and compliance with the law.

10 Investor terms

If you invest through KarryMi's bike-ownership programme, the following also applies to you:

• Bike funding — you fund one or more motorcycles, which KarryMi pairs with verified riders to operate on the Platform.
• Revenue share — you earn an agreed share of the revenue generated by your bike(s), calculated transparently and shown in your dashboard.
• Payouts — your share is paid to your nominated bank account on a regular schedule.
• Onboarding — investor onboarding is completed in person, with documented agreements for each investment.

11Cancellations & refunds

You may cancel a ride or delivery before it begins. A cancellation fee may apply where a rider has already travelled to your pickup point, to fairly compensate their time.

If a trip or delivery is not provided as booked, or you are charged in error, contact support and we will review the matter and issue a refund to your wallet where appropriate. Refunds are handled in line with our policies and applicable law.

12 Prohibited uses

You must not:

• Use KarryMi for any unlawful, fraudulent or harmful purpose.
• Send illegal, dangerous or prohibited items as parcels.
• Harass, threaten or endanger riders, passengers, senders or staff.
• Tamper with, reverse-engineer or attempt to disrupt the Platform.
• Create accounts using false information or impersonate others.
• Misuse safety features, codes or the ratings system.

Breaching these rules may result in suspension or permanent removal from KarryMi, and may be reported to the authorities.

13Liability & disclaimers

KarryMi provides the Platform with reasonable care and skill. However, to the fullest extent permitted by law, the Platform and services are provided “as is”, and we do not guarantee they will always be uninterrupted or error-free.

Riders are independent operators. While we verify riders and protect trips, KarryMi is not liable for the acts or omissions of riders, passengers or senders beyond what the law requires. Our total liability to you is limited to the maximum extent permitted by applicable Nigerian law. Nothing in these Terms excludes liability that cannot lawfully be excluded.

14 Indemnity

You agree to indemnify and hold KarryMi harmless from any claims, losses, liabilities and expenses arising from your misuse of the Platform, your breach of these Terms, or your violation of any law or the rights of another person.

15Dispute resolution & governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. We encourage you to contact our support team first so we can resolve any issue quickly and fairly.

If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the competent courts of Nigeria, without prejudice to any right to pursue resolution through mediation or arbitration where the parties agree.

16 Termination

You may stop using KarryMi and close your account at any time. We may suspend or terminate your access if you breach these Terms, create risk to others, or where required by law. Provisions that by their nature should survive termination — including payment obligations, liability and dispute resolution — will continue to apply.

17 Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “last updated” date and notify you in the app or by email where appropriate. Continuing to use KarryMi after changes take effect means you accept the updated Terms.
